By accessing or using the Circlevine platform ("Service") provided by Circlevine ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of an organisation or club, you represent that you have the authority to bind that entity to these terms.

If you do not agree to all the terms and conditions, you may not access or use the Service.

Circlevine is a cloud-based financial reconciliation and club management software. It allows users to upload financial data (such as bank statements), organize member ledgers, issue invoices, and track organizational finances.

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for safeguarding the password and credentials used to access the Service.
• You must immediately notify us of any unauthorized use of your account or any other security breach.
• We reserve the right to suspend or terminate accounts that contain inaccurate information or are used for unauthorized purposes.

You retain all rights and ownership to the financial and organizational data you upload to the Service ("User Data"). By uploading User Data, you grant us a limited license to process and display that data solely for the purpose of providing the Service to you.

You represent and warrant that:

• You have all necessary rights, consents, and permissions to upload the User Data to our platform.
• Your use of the Service does not violate any applicable laws or privacy regulations regarding the collection and processing of third-party data (e.g., your members' data).
• You will not upload malicious code, viruses, or illegal content.

Certain features of the Service may be provided for a fee or under a subscription model. We will clearly disclose any applicable fees before you incur them. All fees are non-refundable unless otherwise stated or required by law.

The Service, including its original content, features, and functionality (excluding User Data), is and will remain the exclusive property of Circlevine and its licensors. The Service is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of our Service.

You may terminate your account at any time. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

IN NO EVENT SHALL CIRCLEVINE, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

These Terms shall be governed and construed in accordance with the laws of our operating jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
